1. Purpose

This Agreement outlines the terms and conditions under which Media Design Ltd. will provide ongoing website maintenance and support services for the Client’s website.

2. Scope of Services

Media Design Ltd. agrees to provide the following maintenance services:

  • :: Regular updates to the website software and plugins.
  • :: Performance monitoring and optimization.
  • :: Backup management.
  • :: Security updates and patches.
  • :: Troubleshooting and resolving any website issues.
  • :: Tour content updates and edits (e.g., text, images).
  • :: Bug fixes and error resolution.
  • :: Other maintenance tasks as agreed upon by both parties.

3. Price Structure and Payment Terms

The Client agrees to pay Media Design Ltd. based on one of the following pricing structures:

  • Monthly Plan: £38 per month (billed monthly)
    Includes up to 5 hours of maintenance work per month. Additional work: £15/hour.
  • Quarterly Plan: £23 per month (billed quarterly)
    Includes up to 15 hours of maintenance work per quarter. Additional work: £10/hour.
  • Annual Plan: £20 per month (billed annually)
    Includes up to 60 hours of maintenance work per year. Additional work: £20/hour.

4. Term and Termination

This Agreement shall commence on the date this agreement is submitted and continue until terminated by either party. The Client may terminate this Agreement at any time with written notice. Upon termination, any outstanding payments for services rendered will be due immediately.

5. Additional Services

Services not listed above, such as significant website redesigns, e-commerce setup, or new feature implementations, will be billed separately at the Service Provider’s standard rates.

6. Client Responsibilities

The Client agrees to:

  • Provide access to the website’s admin area and server when necessary.
  • Notify Media Design Ltd. of any issues or concerns promptly.
  • Ensure all content provided for updates is accurate and legally compliant.

7. Limitation of Liability

Media Design Ltd. will use reasonable care and skill in providing services but is not liable for any loss or damage caused by unforeseen issues, including server downtime, hacking, or third-party service failures.

8. Confidentiality

Both parties agree to keep all business-related information confidential, including website data, user information, and proprietary designs.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
